Terms of Use
Last updated: October 3, 2026
These Terms limit the operator’s liability and describe risks you accept by using the website. The website is not available to persons in the United States, Canada, the United Kingdom or sanctioned jurisdictions (section 4). Please read sections 3, 4, 6, 12 and 13 carefully.
YAYA Launchpad is a software interface to public smart contracts and programs on the TON and Solana blockchains. It is not a bank, broker, exchange, custodian or investment adviser, holds no user funds or keys, and is not registered or licensed by any financial regulator. Nothing on the website is an offer to sell or a solicitation to buy any security, derivative or other financial instrument, or investment, legal, tax or other professional advice.
1. Agreement
These Terms of Use (the “Terms”) are an agreement between you and the operators of YAYA Launchpad (“YAYA”, “we”, “us”) and govern your access to launchpad.yayaton.org and related pages, APIs and services (the “Website”). By accessing or using the Website you agree to these Terms and to the Privacy Policy. If you do not agree, do not use the Website.
2. Changes
We may update these Terms. The “last updated” date shows the current version; material changes are shown to you again before you continue. Continuing to use the Website after an update means you accept it.
3. What the Website is — and is not
The Website lets you read on-chain data and prepare transactions that you review and sign in your own wallet (for example Tonkeeper, Phantom or Solflare). Transactions are executed by smart contracts on TON and by programs on Solana (including Raydium and Jupiter), not by us. We do not take custody of assets, cannot reverse or cancel transactions, and cannot recover lost keys or funds. Information shown on the Website (prices, volumes, balances, estimates, net worth) is provided for convenience, may be delayed or wrong, and is not a guarantee of any outcome.
4. Eligibility and prohibited jurisdictions
You must be at least 18 years old and able to form a binding contract. You may use the Website only if you are not a Restricted Person. A Restricted Person is any individual or entity that:
- is a citizen or resident of, is located in, is incorporated or has its principal place of business in, or accesses the Website from the United States (including its territories), Canada or the United Kingdom;
- is located in, resident in, organized under the laws of, or controlled from a country or region subject to comprehensive sanctions or embargoes, including Cuba, Iran, North Korea (DPRK), Syria, and the Crimea, Donetsk, Luhansk, Zaporizhzhia and Kherson regions of Ukraine, or any other jurisdiction comprehensively sanctioned by the United States, the United Nations, the United Kingdom or the European Union;
- is named on, or owned or controlled by a person named on, a sanctions or restricted-party list, including the U.S. OFAC Specially Designated Nationals list, the UN Security Council consolidated list, the UK sanctions list or the EU consolidated list; or
- is located in any place where using the Website, trading digital assets or accessing tokenized securities is prohibited or requires a license or registration that YAYA does not hold.
You represent and warrant, each time you use the Website, that you are not a Restricted Person and are not acting on behalf of one. You must not use a VPN, proxy or any other method to circumvent these restrictions. Tokenized stocks (xStocks) are additionally subject to their issuer’s own eligibility rules, which may exclude more countries. We may block access, hide features or refuse service where we believe a user is a Restricted Person. You are responsible for complying with the laws that apply to you, including tax laws.
5. Your wallet
You connect a self-custodial wallet you control. You are solely responsible for your keys, seed phrase, devices and every transaction or signature you approve. Signing a text message (for example to create a profile) is not a payment; always read what your wallet asks you to sign.
6. Smart contracts and risks
The launchpad contracts (bonding curves, fee distributors, factories and the YAYA Burner) have not been independently audited. They may contain bugs or behave unexpectedly, which can lead to total loss of funds. Specific risks include, without limitation:
- Tokens launched here are created by users. They may have no value, may be abandoned, and their price can fall to zero. Most memecoins do.
- Bonding-curve prices move with every trade; your result can differ from the estimate. Transactions are final.
- Paired assets are issued by third parties. Tokenized stocks (xStocks) are issued by Backed, which can freeze any wallet holding them, including a launch’s contracts. Other paired tokens may have administrators able to mint, freeze or change them.
- After graduation, liquidity sits in third-party DEX pools (DeDust); routing for GRAM purchases uses STON.fi and DeDust. We do not control these venues.
- Some roles exist on-chain: the factory administrator can list or remove paired assets for future launches and acts as guardian that can veto a pending reward root; the rewards service proposes holder-reward distributions and pays network fees. None of these roles can move funds held by a live launch to themselves.
- Network congestion, RPC outages, wallet software and bridge services can delay or break interactions.
- Solana launches run on third-party programs we do not control: Raydium LaunchLab (bonding curves and graduation), Raydium CPMM (graduated pools) and Jupiter (routing). Their developers can change or upgrade them, and their own risks apply. Anyone can create pools under the YAYA platform with other settings; the Website lists only launches made with its standard settings.
- Solana launch tokens use the Token-2022 transfer fee: a 1% or 3% holder tax is withheld on every transfer, including wallet-to-wallet transfers and trades after graduation. Some wallets, exchanges or services may not support such tokens.
- Solana holder rewards and graduated-pool creator fees are paid by services we operate with their own wallets (the rewards wallet holds the authority to withdraw the transfer tax; the creator-fee wallet receives graduated pools’ creator fees). Payouts depend on these services running, on market routes and on network conditions, and are not guaranteed; amounts below about US$1 carry over.
7. Fees
Each launch has a trading fee of 1%, 2% or 3%, fixed at creation and split on-chain: 50% to holders, 25% to the creator and 25% to the platform. For launches created after September 25, 2026 the platform share goes to the YAYA Burner contract, which pays 20% to the team and uses 80% to buy back and burn YAYA. Creating a launch costs a 0.39 GRAM fee plus deployment value and network fees. You also pay TON network fees for every transaction. Fees are enforced by the contracts and are not refundable. For paired TON launches, 5% of each holder-reward distribution is kept by the rewards service to pay its gas.
New GRAM launches: launches paired with GRAM that are created on the current factory pay a trade fee of 1% or 3%, chosen by the creator at launch. Every collected fee is split 70% to holders and 30% to the platform; the creator receives no share of trading fees. While the token is on the bonding curve the holder share is added to the curve reserve; after the token graduates at 2,000 GRAM, the launch collects part of the DeDust pool’s trading fee and the holder share buys back and burns the token. Earlier launches keep the terms they were created with.
New pair launches (stocks and tokens) use the same model: a fee of 1% or 3% split 70% to holders (paid in the pair token) and 30% to the platform, with graduation at $3,000 of liquidity. The creator does not earn from trading fees. Earlier pair launches keep the terms they were created with.
Solana launches: trades on the bonding curve pay 1.25% (1% to the platform, 0.25% to Raydium). Each token has a 1% or 3% transfer tax; the tax is sold for the pair token and paid to holders by average balance, with 5% kept to cover gas and account rent. After graduation the Raydium pool charges a 0.25% trading fee (the liquidity-provider share goes to the platform through the locked-liquidity fee key) and a 1% creator fee split 0.35% to the token creator and 0.65% to the platform. Creating a Solana launch costs Solana account rent and network and priority fees. These fees are enforced by the programs or by our services as described, and are not refundable.
Bridge: transfers between TON and Solana on the Bridge page are carried out by Relay, a third-party service that we do not control; delivery, refunds and Relay's own fees are subject to its terms. Each bridge transfer includes a 0.1% YAYA Launchpad fee, taken from the amount you send. A transfer to a wrong receiving address cannot be reversed.
Referrals: if you opened the site through a referral link, 10% of the YAYA Launchpad fee on your Solana tab swaps is sent to the referring wallet in the same transaction. This does not change what you pay. Referral shares are paid only on chain at the time of the swap; there are no other payouts or claims.
Third-party TON and Solana coins: swaps of coins listed on the TON tab are routed through the Omniston aggregator, and swaps of coins listed on the Solana tab through Jupiter. Each includes a 0.1% YAYA Launchpad fee, paid to the team. The fee is part of the quote you see before signing. DEX fees and network fees also apply. These fees are not refundable.
8. User-created tokens and content
Token names, images, descriptions, usernames, avatars and other content are provided by users. We do not endorse, verify or guarantee them, and a listing on the Website is not a recommendation. You are responsible for content you submit and must have the right to use it. We may hide or de-list any token or profile from the Website at our discretion, for example for impersonation, infringement or illegal content; this does not change the underlying contracts.
Third-party tokens. The TON tab lists tokens that were not launched on YAYA Launchpad. They are issued and controlled by others and trade on independent exchanges such as STON.fi and DeDust. We choose which of them to display, but we do not issue, audit, endorse or control them, and showing a token is not a recommendation to buy it. Their contracts may let an admin mint, freeze or restrict transfers, their liquidity may be withdrawn, and their price can fall to zero. Prices and market data come from third-party services and may be delayed or wrong. Swaps are prepared by a third-party aggregator and executed by third-party contracts; we do not hold your funds and cannot reverse or refund a swap. Sections 6, 12 and 13 apply to these tokens in full.
9. Prohibited use
You agree not to: break any law or sanctions; manipulate markets (including wash trading or spoofing); launch tokens that impersonate others, infringe rights or are designed to defraud; exploit bugs; interfere with the Website, its APIs or other users; scrape or overload our services beyond reasonable use; or use the Website to launder proceeds of crime.
10. Profiles
Usernames are unique and first come, first served; some names are reserved for official accounts. We may reclaim or remove a username or avatar that impersonates, infringes or offends. Profile data is public.
11. Intellectual property
The Website’s design, text, logos and the YAYA name belong to their respective owners. You may not use them in a way that suggests endorsement without permission. Open-source components remain under their own licenses.
12. Disclaimers
The Website and all information are provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, availability and non-infringement. You use the Website and the smart contracts at your own risk.
13. Limitation of liability
To the maximum extent permitted by law, YAYA and its contributors are not liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, tokens, data or goodwill, arising from your use of the Website or the smart contracts, even if advised of the possibility. Our total liability for any claim shall not exceed one hundred US dollars (US$100).
14. Indemnity
You agree to indemnify and hold harmless YAYA and its contributors from claims, losses and costs arising from your use of the Website, your content, or your breach of these Terms or of any law.
15. Suspension
We may change, suspend or discontinue the Website, or restrict your access to it, at any time. The smart contracts keep working independently of the Website.
16. Disputes
Before bringing any claim, contact us and try in good faith to resolve it informally for at least 30 days. Claims must be brought individually, not as a plaintiff or class member in any class or representative proceeding, to the extent permitted by applicable law.
17. General
If any part of these Terms is unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. These Terms and the Privacy Policy are the entire agreement between you and us about the Website.
